Welcome to Adsy. These Terms & Conditions govern your use of our website located at https://ouradsy.com and the digital marketing services provided by Mars Consultancy Services. By accessing our website or engaging our services, you agree to comply with and be bound by these terms.

1. Services Provided

Adsy provides digital marketing solutions, including but not limited to Social Media Marketing (SMM), Google Ads management, Search Engine Optimization (SEO), WhatsApp Marketing broadcasts, and Website Development. Specific deliverables are outlined in individual client agreements or proposal documents.

2. Payment Terms

  • Advance Payments: All monthly retainer marketing fees are billed in advance at the start of each service cycle.
  • 3-Month Minimum Commitment: Unless stated otherwise, all onboarding marketing plans require a minimum active term of 3 months to design, execute, and properly measure digital campaigns.
  • Ad Spend: Media budgets for Facebook, Instagram, or Google Ads are paid directly by the client to the respective advertising platforms and are not included in Adsy's management fees.

3. Cancellation Policy

After the initial 3-month commitment, either party may terminate the marketing retainer by providing a 30-day written notice. Retainer fees paid for the ongoing billing cycle are non-refundable, and services will continue to be rendered until the end of the notice period.

4. Intellectual Property

  • Client Accounts: The client retains absolute ownership of all advertising accounts, social pages, domain names, and database contacts set up or managed on their behalf.
  • Agency Deliverables: Adsy owns the rights to its proprietary templates, strategies, campaign structures, and audit documents. Upon full receipt of outstanding payments, clients are granted an irrevocable license to use all creative deliverables (graphics, copy, ad configurations) created for them.

5. Limitation of Liability

While we strive to maximize client performance, digital advertising platforms undergo constant algorithm changes. Mars Consultancy Services makes no guarantee of specific sales volumes, rankings, or conversion figures. We are not liable for any indirect, incidental, or consequential damages resulting from campaign downtime, platform policy changes, or suspended accounts.

6. Governing Law

These terms and conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts located in Muzaffarnagar, Uttar Pradesh.
